Terms & Conditions

By accessing our website at pithosint.com, using our client portal at clients.pithosint.com, or engaging Pithos Interactive for any services, you ("Client") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy.

If you are entering into this agreement on behalf of a business entity, you represent that you have the authority to bind that entity. If you do not agree to these terms, you may not use our services.

These Terms apply in addition to any executed Service Agreement between you and Pithos Interactive. In the event of a conflict, the specific terms of the signed Service Agreement shall govern.

You may accept these Terms and execute any related agreement, addendum, or document electronically through our client portal. Electronic acceptance, including a typed legal name combined with a server-recorded timestamp and originating IP address, carries the same legal effect as a handwritten signature under the federal E-SIGN Act (15 U.S.C. §§ 7001 et seq.) and the Michigan Uniform Electronic Transactions Act (MCL 450.831 et seq.). Pithos Interactive provides search engine optimization, digital reputation management, and related digital strategy services to premium local businesses, along with optional website design and build services. Our offerings include, but are not limited to:

Monthly Retainer Services

• Presence: Foundational digital presence management including local SEO fundamentals, Google Business Profile optimization, and reputation monitoring
• Authority: Expanded strategy including ongoing content, citation building, review generation, and performance reporting
• Dominance: Comprehensive local market domination strategy across all digital channels with priority support and advanced analytics

Website Design Services

• Custom website design, development, and launch for premium local businesses
• Website packages are scoped and priced individually per signed project agreement

Add-On Services

• À la carte monthly add-ons available to retainer clients as specified in your service agreement

The specific scope, deliverables, and timelines for your engagement will be defined in your signed Service Agreement. Pithos Interactive reserves the right to modify, add to, or discontinue service offerings at any time with reasonable notice to active clients.

A successful engagement requires active participation and timely cooperation. As a Client, you agree to:

• Provide accurate, complete, and up-to-date information about your business, goals, and digital presence
• Supply required materials (brand assets, login credentials, photography, copy approvals) within agreed timelines; delays in providing materials may impact delivery schedules and do not entitle you to service credits
• Designate a single primary point of contact for communications and approvals
• Review and respond to requests, draft approvals, and deliverables within a reasonable timeframe (typically 5 business days unless otherwise agreed)
• Maintain access to third-party platforms (Google, review sites, social media) as reasonably required for service delivery
• Notify Pithos Interactive promptly of any material changes to your business, branding, or competitive landscape
• Comply with all applicable laws in connection with your business and the digital assets we manage on your behalf

Retainer Fees

Monthly retainer services are billed in advance on a recurring basis. Your billing cycle begins on the billing date specified in your Statement of Work. Retainer fees are non-refundable once the billing cycle has begun.

Project-Based Fees

Website design and other project-based services are billed according to the payment schedule outlined in your signed project agreement. Typical schedules include a deposit at project initiation and a final payment prior to launch or delivery.

Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize Pithos Interactive to charge your designated payment method for the amounts and on the schedule specified in your service agreement. You represent that you are authorized to use the payment method provided.

Automatic Payments

You may enroll in automatic payments through the client portal by adding a payment method. When automatic payments are enabled, you authorize Pithos Interactive to charge that payment method, without further action on your part, for each invoice issued under your service agreement. Each automatic charge is itemized on a corresponding invoice viewable in the client portal, and a receipt is emailed to the address on file. You may turn off automatic payments at any time from the Billing section of the client portal. Turning off automatic payments does not waive any amounts already owed, and any past-due balance remains payable under the late-payment terms below.

Late Payments

• Invoices are due upon receipt unless otherwise stated in your service agreement
• Accounts more than 7 days past due may result in a temporary suspension of active services
• Accounts more than 30 days past due may result in termination of the engagement and referral to collections
• Pithos Interactive reserves the right to charge a late fee of 1.5% per month on outstanding balances

Price Lock & Renewal Pricing

Clients on a fixed-term agreement are guaranteed their contracted monthly rate for the full duration of that term. Pithos Interactive will not raise rates mid-term. At the time of renewal, Pithos Interactive reserves the right to adjust pricing based on current market conditions, service scope, and operational costs. Renewal pricing will be communicated to the Client no later than 60 days before the term's end date.

Agreement Terms

All Pithos Interactive retainer services are offered under fixed-term agreements of one (1), three (3), or five (5) years, as selected at the time of engagement. By signing a fixed-term agreement, the Client commits to paying the agreed monthly fee for the full duration of that term.

In exchange, Pithos Interactive guarantees that the Client's monthly rate will not increase for the entirety of the agreed term. Any pricing adjustments will be determined at the time of renewal and will not be applied mid-term.

Cancellation During Term

Clients may not cancel their engagement mid-term without consequence. If a Client wishes to terminate services before the end of their agreed term, the following conditions apply:

• Written notice of cancellation must be submitted a minimum of 30 days in advance of the intended termination date, via email or through the client portal
• The Client remains responsible for all fees accrued through the end of the notice period
• An early termination fee will be assessed equal to the greater of: (a) $2,500, or (b) the total remaining monthly fees owed for the balance of the contracted term, whichever is greater
• This fee is due in full within 14 days of the termination date

At the End of a Term

Clients who wish to discontinue services at the natural conclusion of their term must provide written notice at least 30 days before the term's end date. Without such notice, services will continue on a month-to-month basis at the then-current pricing until written cancellation is received and the 30-day notice period has elapsed.

Termination by Pithos Interactive

Pithos Interactive reserves the right to suspend or terminate services immediately and without refund in the event of:

• Non-payment or chargebacks without valid dispute
• Violation of these Terms and Conditions or your service agreement
• Abusive, threatening, or unprofessional conduct directed toward Pithos Interactive staff
• Any illegal activity connected to services we are managing on your behalf

Upon Termination

Upon termination of services, Pithos Interactive will: cease all active work on your account; provide you with access to any completed deliverables for which payment has been received in full; and transfer any accounts, credentials, or assets under our management back to you within 14 business days.

Client-Owned Materials

All content, logos, photographs, and other materials you provide to Pithos Interactive remain your sole property. You grant Pithos Interactive a limited, non-exclusive license to use these materials solely for the purpose of delivering contracted services.

Deliverables

Upon receipt of full payment, ownership of final creative deliverables (including website designs, written content, and brand assets created specifically for your engagement) transfers to you. Pithos Interactive retains the right to showcase completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing.

Pithos Interactive Property

Pithos Interactive retains ownership of all proprietary systems, methodologies, frameworks, templates, tools, and processes used in the delivery of services. These are not transferred to the Client under any circumstances.

Third-Party Assets

Any third-party assets incorporated into deliverables (licensed stock photography, fonts, plugins, etc.) are subject to their respective licenses. Pithos Interactive will inform you of any such assets and the applicable license terms.

Both parties agree to treat as confidential any non-public information disclosed in connection with the engagement, including business strategies, financial information, customer data, proprietary processes, and unpublished deliverables.

Pithos Interactive will not disclose your confidential business information to any third party without your consent, except as required to deliver contracted services (e.g., sharing necessary access with approved vendors) or as required by law.

Confidentiality obligations survive termination of the engagement for a period of three (3) years.

Pithos Interactive provides services in good faith and with professional expertise. However, due to the inherent nature of digital marketing and search engine optimization, we cannot and do not guarantee specific results, including but not limited to:

• Specific search engine rankings or positions
• A defined volume of website traffic, leads, or new customers
• Specific review ratings or quantities
• Revenue growth or specific return on investment

Search engines, review platforms, and social media algorithms are controlled by third parties and can change without notice. Pithos Interactive applies current industry best practices but cannot guarantee outcomes contingent on third-party systems.

To the fullest extent permitted by applicable law, Pithos Interactive shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the services provided, including but not limited to loss of revenue, loss of business, loss of data, or loss of goodwill.

In any event, Pithos Interactive's total cumulative liability to you for any claim arising out of or related to the services shall not exceed the total fees paid by you to Pithos Interactive in the three (3) months immediately preceding the claim.

This limitation applies regardless of the legal theory under which such damages are claimed, even if Pithos Interactive has been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless Pithos Interactive, its principals, and any contractors or agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

• Your breach of these Terms or your service agreement
• Your violation of any applicable law or regulation
• Content or materials you provide that infringe the intellectual property or other rights of a third party
• Any claims brought by your customers or third parties related to your business operations

Access to the Pithos Interactive client portal at clients.pithosint.com is provided exclusively to active clients with valid service agreements. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

• Do not share your portal credentials with unauthorized individuals
• Notify Pithos Interactive immediately if you suspect unauthorized access to your account
• Do not upload content that is illegal, defamatory, or infringes third-party rights
• Do not attempt to reverse-engineer, scrape, or interfere with portal systems

Portal access is terminated upon the conclusion of your engagement. Pithos Interactive reserves the right to suspend portal access for non-payment or violation of these Terms.

Active clients may participate in the Pithos Interactive referral program. Referral credits are issued at the sole discretion of Pithos Interactive and applied to future invoices as described in your service agreement or the referral program terms communicated to you at enrollment.

• Referral credits have no cash value and cannot be transferred
• Credits are forfeited upon termination of your engagement
• Pithos Interactive reserves the right to modify or discontinue the referral program at any time with reasonable notice
• Any abuse of the referral program may result in forfeiture of credits and account suspension

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles.

In the event of a dispute arising from or related to these Terms or the services provided, both parties agree to first attempt to resolve the matter through good-faith direct negotiation. If the dispute cannot be resolved informally within 30 days, the parties agree to pursue mediation before initiating any formal legal proceedings.

Any unresolved legal action shall be brought exclusively in the state or federal courts located in Presque Isle County, Michigan, and both parties consent to the personal jurisdiction of those courts.

Pithos Interactive reserves the right to update these Terms and Conditions at any time. When material changes are made, we will update the "Last Updated" date and notify active clients via the client portal or email with a minimum of 14 days' notice before changes take effect.

Your continued use of our services following the notice period constitutes your acceptance of the revised terms. If you do not agree to any revised terms, you may terminate your engagement with written notice as described in Section 5.

For clients who have executed a Master Service Agreement with Pithos Interactive, the terms of that signed agreement govern the engagement and may only be amended by a written instrument signed by both parties. These Terms and Conditions apply to general use of Pithos Interactive's website and platforms; in the event of any conflict between these Terms and a signed Master Service Agreement, the Master Service Agreement shall control.
